**Key Responsibilities**


The Transaction Structuring Group ( **TSG** ) is a group within the Investment Banking Division of Citigroup Global Markets Japan Inc. that is uniquely specialized in mainly supporting the origination and execution of capital markets transactions. TSG has been expanding its roles in the Investment Banking Division, and is expected to be proactively involved in originating and executing the investment banking transactions and matters in general, as a member of its front office.


A general overview of the types of transactions the candidate will cover include:


**Equity Capital Markets** **:**


+ Initial public offerings of equity and other equity offerings, including, follow on, depositary receipt and private placements of, in ease case, equity and equity linked instruments. Typically Rule 144A/Reg S.


**Debt Capital Markets** **:**


+ Standalone bond offerings (SEC registered, Reg S and/or Rule 144A);

+ MTN programmes (origination, updates and drawdowns),

+ Liability management transactions,

+ And private placements of debt instruments.


**M&A/Other Financial Advisory** **:**


+ Advisory transactions, including inbound and outbound cross border M&A and public M&A where the firm acts as financial advisor.


**Structuring Products** **:**


+ Assist in structuring discussions for hybrid, newly developing equity related transactions and M&A financing.


The successful candidate will help bankers with origination efforts, which will include assisting the bankers in structuring corporate transactions and explaining to the clients the schedule and documentation requirements and issues of the proposed transaction. Once Citi is mandated for the transaction, the candidate will lead in drafting/reviewing contracts and documents to execute the transactions, working closely with the bankers, clients and external counsels, in particular providing appropriate instructions and guidance to the clients. The candidate will also provide strategic and practical advices to the bankers and the clients from the viewpoint of a legal professional in the front office, liaising with the internal legal, compliance and other administrative professionals within the firm, and develop training opportunities for bankers.


**Responsibilities will also include:**


+ Assisting in the preparation, review and presentation of origination materials;

+ Coordinating and responding to queries from bankers and other administrative and control functions on legal matters relating to or arising out of the corporate and investment banking business and international transactions;

+ Engaging and managing outside counsel, as necessary;

+ Working closely with compliance and in-house legal to ensure compliance with internal policies;

+ Sharing and assisting in the management of know-how with bankers;

+ Developing a relationship with bankers as a trusted strategic partner

+ Providing sophisticated and practical advice to the bankers and clients; and

+ Developing training opportunities for bankers.


**_Key Requirements_**


+ Bachelors of Law (LLB), Masters of Law (LLM) or Doctors of Law (SJD or JD) from an internationally recognized law school or law faculty.

+ At least [3/5] years PQE.

+ English and Japanese spoken and written language skills to be able to interact with internal and external stakeholders.

+ Experience with Japan related capital markets

+ Proficient in Word, Excel and PowerPoint.

+ Must have a high moral character with confidence in his/her views and engage in constructive discussions to lead stakeholders to the right result for the Firm.

+ Demonstrated ability to communicate crisply and candidly.

+ Comfortable working in a diverse and driven team of colleagues and clients; able to coordinate and act in concert with others to achieve common goals and objectives.

+ Takes ownership of his/her work, accepting responsibility for issues, projects and decisions; accepts accountability.

+ Demonstrated ability to motivate and lead colleagues and clients consistent with personal and company values.

+ Self-motivated and capable of delivering results on time and is capable of managing a wide range of deals at once.

+ Has strong leadership and management skills.


**_Desired skills_**


+ Experience in a Japanese or international law firm would be an advantage.
