THE POSITION

Honeywell is seeking an outstanding candidate with demonstrated leadership experience and a professional track record of exceptional performance in key leadership positions to build out its business inorganically through smart capital allocation to M&A, JVs, partnerships and alliances. The Director, Corporate Development & M&A must have strong business acumen and strategic analysis, quick comprehension of the Honeywell business models, technologies, products, services, solutions offered and strategic plans for growth.

 

The candidate must have significant experience within an industrial - or IIoT - focused company, boutique investment bank, or management consulting firm or a similar background with proven strategic growth/ inorganic growth experience in the industry/business segment focus area of deal origination. He or she should possess multi-industry experience and will need to be geographically mobile for future career growth.

 

The Director, Corporate Development and M&A will have had significant direct leadership experience in transaction process including process management, deal structuring, valuation, due diligence, negotiation and integration as well as a proven track record in full deal cycle from sourcing to post-close integration.

 

The successful candidate will interact closely with the leadership of Honeywell€™s Strategic Business Groups and their dedicated Business Development (BD) resources and will direct teams of people, some of whom will have direct reporting line and some of whom will have a matrix reporting line.   globally. The selected candidate will report to the VP, Corporate Development and Global Head of M&A and have direct regular exposure to the Chairman and CEO, Darius Adamczyk, and Honeywell€™s senior executive team.

 

KEY RESPONSIBILITIES

·        Business development, strategic deal structuring, including mergers, acquisitions, alliances, partners & ideally experience acquiring or partnering with tech/software companies

·        Monitor the M&A and competitive landscape to help business segments and Corporate identify and prioritize appropriate opportunities, including through tracking of public companies and interaction with investment bankers and other sources of opportunities.

·        Support VP, Corp. Development & Global Head of M&A in building a world-class M&A Program with a robust pipeline that converts to a strong narrative around the Honeywell vision of inorganic growth.

·        Oversee and manage due diligence and integration planning and execution in close coordination and cooperation with the acquiring business unit; oversee valuation and negotiations with primary governance over the same.

·        Support the development and screening of potential transactions from internal and external €œdeal sources€ and from his/her own strategic market and technical research and in collaboration with SBG BD resources. Provide thought leadership with regard to €œstrategic fit€, oversee valuation and due diligence efforts and lead negotiation strategy and tactics with all proposed acquisition targets based on deep knowledge of targets and relationships pursued.

·        Help to maintain and grow deal pipeline for the relevant business segment(s) and attractive adjacent markets.

·        Think creatively about markets and adjacencies in which Honeywell plays and recommend attractive business areas where it can acquire an established business with similar or adjacent products which will accelerate Honeywell€™s growth

·        Lead cultivation of selected acquisition targets within served and adjacent markets.

·        Make intelligent risk/reward assessments based on well-informed analysis and strategies to mitigate deal risk.

·        Advise senior management of the merits of specific investment opportunities based on thorough analysis and evaluation in the context of Honeywell€™s over-arching strategic priorities.

 

 

You must have:

·        At least 10-15 years of M&A leadership experience within a corporation, boutique investment bank, Big 4 transaction services and/or management consulting firm or a similar background with demonstrated results in leading and achieving strategic growth/inorganic growth for clients.

·        Meaningful experience leading M&A transactions in the first chair role; include transaction (deal sheet) attachment to resume; indicate in deal sheet which ones they€™ve led

·        Direct experience running M&A transactions from start to finish i.e. including engagement with the target companies, analyzing the strategic fit, deal structuring, valuation, due diligence, negotiation, deal closing and integration.

·        Global experience

·        Excellent verbal and written communication and presentation skills. Strong Honeywell culture fit.
