Program Manager / Paralegal (Corporate/M&A)- Legal

What You'll Do

As U.S. Program Manager/Paralegal (Corporate/M&A), your primary responsibilities will be to assist Cisco's Corporate and M&A legal teams in managing all aspects of its U.S. corporate practice, including maintenance of Ciscos U.S. subsidiaries, U.S. securities law compliance, support for merger and acquisition transactions, maintenance of corporate records, and compliance with corporate governance policies.


Responsibilities include:

Corporate and Securities

       Maintenance of U.S. subsidiaries, including scheduling board meetings and drafting various corporate documents, including unanimous written   consents, resolutions (director and officer changes, signatories, etc.), secretary certificates, and powers of attorney

       Assist with Cisco Systems, Inc. board of directors matters, including drafting resolutions and secretary certificates, tracking board attendance, tracking board retainer payments, and drafting board payment letters

        Maintain original board/shareholder and committee minute books and uploading of documents to online electronic repository for Cisco Systems, Inc.

       Maintain U.S. subsidiary minute books and uploading of documents to online electronic repository for U.S. subsidiary entities

       Section 16 program coordination/maintenance, including drafting of Form 3s and Form 4s, coordinating with outside counsel on Section 16   filings, coordination with brokers, updating Section 16 shareholding ownership spreadsheets, scheduling electronic notifications for Section 16   vesting events, maintaining file of Section 16 Edgar codes, coordinating with Ciscos global stock plan services team, and leading communication   with investor relations and public relations teams on Section 16 events

       Assist with annual meeting/proxy statement (coordination of annual D&O Questionnaires, preparation of proxy tables, etc.)

       Maintain quarterly list of related parties and entities, and coordinate collection of data with Ciscos finance department

       Maintain original SEC filings

       Other general corporate work including assisting with preparation/filing of annual California Corporate Disclosure Statement and California   Statement of Information, preparation of subsidiary list for 10-K, assisting with coordination of S-8 filings

       Assist with other administrative tasks as may be required

Mergers and Acquisitions

        Support all aspects of merger and acquisition transactions and other strategic corporate development transactions, including due diligence, document preparation, closing mechanics, and post-closing integration and administration

       Work with outside counsel on formation of acquisition subsidiaries

         Maintain data rooms

         Check capitalization tables for any potential conflicts of interest

         Convert acquired companies to LLCs and related post-acquisition work (including officer and director changes, signatory resolutions, state   qualifications and withdrawals work with Tax department)

         Dissolution of U.S. entities and related post-dissolution work

         Maintain M&A document repository

         Assembly of documentation for KYC requirements

         Coordinate signatures for merger and acquisition transactions

         Assist with other administrative tasks as may be required

Who You'll Work With

You will work as part of both the corporate and M&A legal teams. You will work with many other attorneys and program managers across the legal department as  well as many cross-functional teams across Cisco, including the corporate controllers group, stock administration, tax, treasury, business development, investor relations, public relations, human resources, and workplace resources, among others. You will also work directly with outside legal counsel and other advisors.

Who You Are

The Minimum Requirements for this role:

         B.A. or equivalent experience, excellent academic credentials

         At least five years of paralegal or similar experience, preferably with both a top-tier law firm and an in-house legal   department, including  significant experience in managing corporate matters

         Excellent analytical skills, with a strong ability to draft and review legal documents, analyze legal advice and apply legal advice to business needs

         Hard working, well-organized and detail-oriented

         Must be able to manage numerous projects simultaneously under deadline pressure

         Flexibility and willingness to work on a broad variety of legal matters

         Ability and willingness to take initiative to address problems and make continuous process improvements

         Excellent interpersonal skills, dynamic and highly team-oriented

         Ability to perform work under minimal supervision
