Working\r under the purview of the VP Corp Development / M&A, this role is responsible for leading/supporting all aspects of acquisition and divestiture\r transactions, including joint ventures and alliances, for the promotion of Honeywell€™s\r growth objectives.  The selected individual will work extensively with cross-functional teams in the execution of these duties and will provide\r M&A guidance and process leadership to business segment teams in the\r field and have relevant contact with the Honeywell Building Technologies' (HBT) leadership. Specific\r responsibilities include:

Design / Conduct Thorough and Effective\r Acquisition / Divestiture Due Diligence:
* Screen, analyze and develop a strong business case for each acquisition, including quantitative support for annual operating plan and investment activities.
* Support operational due diligence, including market strength, technology analyses, competitive position and operational effectiveness to validate growth and performance improvement initiatives.
*Lead/support financial due diligence, including current and projected performance expectations and financial transaction modeling.
*Lead/support valuation modeling, and provide valuation expertise to sponsoring Strategic Business Units (SBU's).
*Lead/support internal preparation process for divestitures and quarterback the sale process from start to finish.
*Develop and present complex business plans in effective and accessible fashion to HBT leaders and senior Honeywell Corporate leadership.

Manage acquisition and divestiture due\r diligence, valuation analysis, pre-closing integration (or dis-integration)\r and closing processes:
* Provide comprehensive financial and strategic rationale to senior leaders.
* Manage the deal execution process in conjunction with Corporate Development.
* Support determination of deal structure and deal negotiations.
* Ensure Honeywell M&A policies and procedures are complied with at all times and provide periodic training on the same.
* Facilitate Corporate approval process for all deals.
* Lead/support communications with Corporate CEO, CFO, VP Strategy, VP Corporate Development, Global Head M&A, General Counsel, General Counsel for Corporate Finance and SBU General Managers. (Communications are expected to be proactive, timely, open, and collaborative, with a €œone team€ mindset.)

Support Development of Robust Acquisition\r Pipeline:
* Team with Strategy and SBU Leadership teams to understand and develop strategic direction and acquisition / alliance priorities. Define merger, acquisition divestment, and alliance strategy within the parameters of the Corporate Acquisition Policy.
* Develop and deploy robust acquisition pipeline process, leveraging strategic business unit priorities. Work with SBU teams to plan ongoing outreach program to develop relationships with targets.
* Identify and screen potential acquisition / partnering targets; support target identification activities and help to manage comprehensive Corporate acquisition pipeline.
* Work with Strategic Business Group (SBG) / SBU deal sponsors to evaluate opportunities.
* Contact and pursue targeted companies consistent with Honeywell€™s Corporate Acquisition Policy.

Support the pre-closing and post-closing\r acquisition integration processes:
* Manage team through the transaction process to ensure proper training on Corporate Integration Process.
* Ensure appropriate focus on and commitment to acquisition integration and seamless transition.
* Support identification of appropriate Integration Leader deal by deal.
* Support the development of the €œdis-integration€ plan for divestitures and the development of the transition services agreement.

Educational Requirements

BS,\rBA or BBA in Engineering, Business, Marketing, Finance, Accounting or other\rrelevant discipline.  Advanced degree (MS\ror MBA) from a top-tier school is greatly preferred.

 

Candidate\rProfile Experience

The\r successful candidate will have at least 8 years in direct M&A\r transaction execution experience, preferably in building technologies,\r software, or products. At least 3 years in corporate M&A.  Software related transaction experience is\r a plus.

The successful candidate must have direct experience executing M&A transactions (both\r acquisitions and divestitures) from start to finish, utilizing strong\r financial capabilities and strong project management skills.

Additional\r functional experience requirements include:

* Strong judgment, leadership and influencing skills to provide impetus to €œget deals done€ within realistic time frames and profitable parameters, while at the same time ensuring a fair and well-thought out presentation to Senior Corporate Leadership.

* Experience managing all facets of a deal, including superior skills in screening and analyzing potential opportunities, cultivation, conducting due diligence, structuring, negotiating, executing, closing, and integrating deals.

* Ability to deal with ambiguity, work within a cross functional team environment and communicate effectively with multiple constituents

* Superior financial and analytical skills, including valuation methodologies; strong accounting background a plus.

* Strong communication skills (verbal and written), negotiation skills and a collaborative/team approach to execution.

* Strategic insight into €œcorporate fit€ of proposed transactions €“ ability to see the bigger picture in order to gauge future acquisition runway and expansion paths.

Good strategic judgment and conviction to determine attractiveness of deal quickly

Strong independent work ethic and self-starter

* Add value to high-level management interactions, with a proven ability to develop, communicate and create buy-in around business strategies.

* Ability to travel 30-40%
