  • Provide legal, regulatory and policy advice to senior management, bankers, traders, salespersons and control functions on matters related to Credit markets and products offered by Citis Institutional Client Group

  • Provide transactional legal support to credit trading business including cash and derivative products, including swap documentation and credit facility agreements.

  • Subject matter includes U.S. securities laws, broker-dealer, swap dealer and banking regulations, exchange and swap execution facility rules, data protection, licensing, and intellectual property, distributed ledger technology, electronic trading systems and electronic information services.

  • Review, draft and negotiate various agreements including electronic user and trading agreements.

  • Work with in-house intellectual property and procurement legal groups.

  • Interact with regulators such as the OCC, SEC, and CFTC in the context of new product development, promulgation and implementation of regulations, ordinary course examinations, periodic market updates, and enforcement actions.

  • Work closely with other Control Functions to ensure compliance by business with applicable laws, regulations and policies/procedures, including through periodic reviews of such laws and regulations, serving as Legal representative on the New Products Approval Committee, and addressing non-compliance or enforcement matters.

  • Represent Citi on industry working groups relevant to evaluate best practices and provide comments on proposed rules and regulations

  • Work on broader projects such as Dodd-Frank implementation and Resolution Planning.


Qualifications


  • JD degree required, with New York Bar qualification

  • 5 + years of experience as an attorney working in or with the financial services industry. Preferred candidate has transactional experience, including experience with development and regulation of electronic interfaces in the capital markets, such as IP licenses and agreements, related software/technology issues, and regulation of algorithmic and electronic trading and market structure.  

  • Knowledge of securities laws, and Dodd-Frank regulations, such as Tile VII and the Volcker Rule.

  • Skills and Competencies: Strong communications and presentation skills, confidence when dealing with senior managers, business and control functions, and strong legal and analytical skills
