**Role Value Proposition:**

This Corporate Counsel position represents and exciting opportunity to join the Legal Affairs team at Metlife.

The major responsibilities of this position include: (1) negotiation, coordination, and drafting of technology and intellectual property-related agreements and other complex agreements, such as supplier, outsourcing, and other vendor agreements; (2) advising on privacy matters in the U.S., Europe, and/or globally; (3) negotiation, coordination, and drafting of other contracts, such as special events contracts, real estate contracts and marketing sponsorship agreements; (4) providing strategic legal advice and support to various business units worldwide; and (5) exercising influence and leadership with business partners and colleagues to help achieve results.

**Principal Responsibilities:**

+ Negotiate, coordinate, and draft technology, intellectual property, privacy/data security, new media, e-commerce, telecommunications and intellectual property-related agreements.

+ Advise on privacy matters in the U.S., Europe, and/or globally.

+ Negotiate, coordinate, and draft other complex agreements, such as supplier, outsourcing, and other vendor agreements.

+ Provide strategic legal advice and support to vendor sourcing, information technology, advertising, marketing, corporate services, corporate events, corporate real estate business units worldwide.

+ Provide support for corporate M&A activity and similar projects when required.

+ Demonstrate skills as a strong practitioner and negotiator, a creative problem-solver, self-starter and hard worker, with the desire to grow with the position. Demonstrate strong service orientation and collaboration skills.

+ Exhibit detail-orientation, with very good organizational skills and significant experience in advising clients.

+ Identify and analyze legal issues in a fast-paced and rapidly changing world and business environment.

+ Work with attorneys and compliance professionals in other practice areas within Legal Affairs in a collegial and coordinated fashion.

+ Performs other duties as required.

**Essential Business Experience and Technical Skills:**

+ 3-5 years or more of transactional experience at a major law firm and/or in-house legal department, reflecting a record of accomplishment. Strong understanding of technology, privacy/data security and/or intellectual property law. Insurance and/or other financial services industry experience a plus.

+ General vendor contracting background including in the areas such as cloud computing, software licensing, open source, offshoring, outsourcing, consulting, telecommunications, market data, sponsorships, advertising and marketing.

+ Exhibits good business acumen and familiarity with the market and regulatory landscape affecting information technology vendor contracting

+ Influence and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues.

+ Familiarity with commercial real estate acquisition, disposition, leasing and asset management experience; expertise a plus.

+ Strong drafting, negotiating and analytical skills.

+ Crisp, clear client communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice.

+ Must be able to handle complex transactions from start to finish with minimal supervision.

+ Balances competing demands, multiple deadline-sensitive matters, assessing business priorities.

+ Follows through to ensure advice is acted upon, and that ethical, legal and business issues are raised to appropriate levels.

+ Builds collaborative partnerships and alliances, internally and externally.

+ Enjoys challenging assignments; willing to become familiar with new areas of the law.

+ Willing to receive coaching and mentoring from more management and/or more experienced team members.

+ Willing to build knowledge of the companys structure, operations, products and services, strategic business values, objectives, policies, culture, and regulatory requirements.

+ Willingness and ability to improve operations, implement effective policies and procedures.

+ Juris doctor degree from an accredited law school. Excellent academic credentials.

+ NYS bar admission required.
