**Job Description:**

The Legal Counsel will be part of the US Products CoE (center of excellence) of the Legal and Compliance Department and will provide legal support to various business units within the Energy Management Division as well as crossdivisional support on commercial contracts and projects in the US. The attorney should have proven ability to draft and negotiate contracts with customers, suppliers and vendors. The position is based in Raleigh, NC.


The main areas of focus include:

Drafting and negotiating all types of commercial contracts to meet business and legal needs, including confidentiality agreements, product sales contracts, complex transactional documents and project agreements.

Contract review and advice to business on applicable laws, legal issues in commercial transactions and risk mitigation strategies.

Summarize and prepare risk summaries and legal analysis for review and approval by management.

Supporting internal processes and procedures.

Providing advice regarding legal claims and contract disputes.

Collaborating across functions and regions with business and legal colleagues around the world.

Ability to work closely with management and contribute to the success of the business by providing practical legal and business advice.


Draft, review, and negotiate contractual documents to achieve acceptable risk levels in accordance with internal approval processes.

Collaborate with sales, marketing, finance, and other departments to analyze business and legal risks.

Review solicitations and prepare specialized and/or non-routine responses for proposals, bids, and contract modifications.

Summarize and prepare risk summaries for review and approval by management.

Use and maintain contract templates for customer and vendor transactions where applicable.

Manage contract documentation flow, approvals, and reporting consistent with internal processes.

Conduct legal training of personnel.

Drive legal claim management to reduce non-conformance costs and pursue claim recoveries.

Have a general understanding of the business case and an appreciation of financial/analytical issues. Analyze, manage and resolve diverse matters with commercial customers, government agencies and vendors


Juris Doctorate is required.

Must be admitted to practice law in one or more states in the United States. (International lawyers licensed to work in-house in the US may be considered)

5 plus years of legal experience negotiating contracts in a law firm or corporate in-house position required. Energy contracts experience a plus.

Experience in commercial transactions and claims management or litigation required

Excellent interpersonal communication and negotiation skills (written and verbal) required

Proficient technical skills in MS Office Suite

Team player who can also work independently and thrives in a fast paced environment

Willingness to travel domestically and internationally as needed (10 to 15%)
