**Job Description:**

The Legal Counsel will be part of the US Technology CoE (center of excellence) of the Legal and Compliance Department and will provide legal support to various business units within the Digital Factory and Process Industries & Drives Divisions as well as crossdivisional support on technology law issues in the US. This position will report to the Associate General Counsel, US Technology CoE.

The main areas of focus include:

Drafting and negotiating all types of commercial contracts to meet business and legal needs, including complex contracts in the technology field.

Sharing knowledge of business and legal issues in commercial transactions, including knowledge of legal issues in complex technology transactions.

Supporting internal processes and procedures.

Managing legal claims and contract disputes.

Collaborating across functions and regions with business and legal colleagues.

In this role, the Legal Counsel will collaborate with attorneys and contract managers in the Americas and globally.


Draft, review, and negotiate contractual documents to achieve acceptable risk levels in accordance with internal approval processes, including complex technology transactions involving software licensing, data analytics services, cloud hosting services, data privacy, and data security.

Collaborate with sales, marketing, finance, and other departments to analyze business and legal risks.

Review solicitations and prepare specialized and/or non-routine responses for proposals, bids, and contract modifications.

Summarize and prepare risk summaries for review and approval by management.

Use and maintain contract templates for customer and vendor transactions where applicable.

Manage contract documentation flow, approvals, and reporting consistent with internal processes.

Conduct legal training of personnel.

Drive legal claim management to reduce non-conformance costs and pursue claim recoveries.

Assist in the development and maintenance of contract templates for technology and other commercial transactions.

Have a general understanding of the business case and an appreciation of financial/analytical issues.


-JD required and must be admitted and licensed to practice law in at least one state.

- At least 6 years of legal contract experience in technology/corporate transactions in a law firm or legal department of a multinational corporation.

- At least 2 years of working experience with individuals and teams (internally) or third parties from diverse cultural and education backgrounds and disciplines, preferably located across multiple countries.

- Claims management experience.

- Government contracting experience is a plus.

- Strong knowledge of licensing as well as intellectual property and technology law required.

- Excellent interpersonal communications skills (written and verbal) required.

- Negotiation abilities a must.

- Highly proficient technical skills in MS Office Suite.

- Team player who can also work independently while thriving in a fast paced environment.

- Willingness to travel (approx. 10%) domestically and internationally.
