**Role Value Proposition:**

Attorney will join an active and fast-paced State Insurance Regulation Practice Group responsible for a broad range of insurance regulatory matters. These matters include advice concerning insurance holding company law compliance and financial reporting; insurance-related financing, capital management and M&A transactions; corporate governance issues; and corporate structure matters.

**Key Responsibilities:**

Coordinate and prepare numerous annual holding company filings for enterprise domestic insurance companies; provide advice and prepare transactional regulatory filings relating to inter-affiliate transactions; prepare necessary regulatory filings and other documentation in connection with enterprise M&A activity; negotiate and draft documentation required for insurance reserve financing transactions, the establishment of associated insurance captives and related regulatory filings; provide advice and draft documentation for internal enterprise capital management activity; provide advice concerning the corporate structure of the enterprise, and prepare documentation and required regulatory submissions for corporate restructurings; provide advice and prepare Board materials for various corporate transactions at the holding company and subsidiary levels; review statutory financial statements of our domestic insurance companies, and insurance-related disclosures included in enterprise SEC filings; review and provide advice respecting state insurance department examinations and reports; and work closely with business clients, attorneys in other Practice Groups, Units and Sections, and outside counsel and participate in discussions with state insurance regulators in connection with the foregoing activities.

**Essential Business Experience and Technical Skills:**

+ Work closely and proactively in partnership with internal business partners and outside counsel to identify issues and develop practical solutions.

+ Act as a trusted advisor and partner to MetLife Global Government Relations, Global Technology & Operations, and other business areas (including Finance, Treasury and Reinsurance) in developing and advocating positions to advance MetLifes interests.

+ Keep business partners and colleagues apprised of relevant issues, developments and preventative law measures in state insurance regulation.

+ Collaborate with colleagues on a global basis to provide advice on the same or other matters in a collegial and coordinated fashion.

+ Communicate frequently with Law Department management on issues and progress of matters in order to maintain effectiveness and to coordinate with those working on other matters.

+ Work with, guide, and manage outside counsel for MetLife on matters, to the extent they are engaged on those matters.

+ Demonstrate skills as a creative problem-solver, self-starter and hard worker, with the desire to grow with the position.

+ Demonstrate strong service orientation and collaboration skills.

+ Exhibit detail-orientation, with very good organizational skills and experience in advising business partners.

+ Perform other duties appropriate to the role, or as required or necessary.

+ Learn and embody MetLife values.


+ Have at least 5 years transactional and/or regulatory experience at a major law firm and/or in-house legal department and/or a state or federal regulator, reflecting a record of accomplishment. Insurance and/or other financial services industry experience a plus.

+ Hold a Juris Doctor degree from an accredited law school.

+ Be admitted to the New York State (or other appropriate) bar.

+ Possess excellent academic credentials.

+ Exhibit good business acumen and familiarity with the market and regulatory landscape affecting global financial services companies.

+ Demonstrate persuasion and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues.

+ Command strong drafting, negotiating and analytical skills.


+ Exhibit crisp, clear oral and written communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice.

+ Balance competing demands and multiple deadline-sensitive matters; help assess business priorities.

+ Follow through to ensure advice is acted upon, and that ethical, legal and business issues are raised to appropriate levels.

+ Build collaborative partnerships and alliances, internally and externally.

+ Enjoy challenging assignments; willing to become familiar with new areas of the law.

+ Be willing to receive coaching and mentoring from management and/or more experienced team members.

+ Seek to build knowledge of the companys structure, operations, products and services, strategic business values, objectives, policies, culture, and regulatory requirements.

+ Show a willingness and ability to improve operations and to implement effective policies and procedures.
